01

Purpose & scope

This Code sets the conduct standard expected from VirtuGlam B.V., its directors, personnel and people acting on behalf of the company. It applies to business decisions, customer interaction, transport execution, records, confidential information and use of company systems.

02

Lawful and ethical conduct

Business must be conducted in accordance with applicable law, professional road transport requirements and legitimate customer instructions. Commercial pressure is never a reason to conceal, falsify or knowingly bypass a legal requirement.

03

Anti-bribery and improper advantage

VirtuGlam does not accept bribes, kickbacks, secret commissions or other improper advantages intended to influence a business or transport decision. Gifts or hospitality must remain reasonable, transparent and never compromise independent judgement.

04

Conflicts of interest

Actual or potential conflicts between personal interests and VirtuGlam responsibilities should be disclosed and managed. Decisions affecting customers, suppliers or partners should be made on legitimate business and operational grounds.

05

Fair competition and commercial integrity

We compete through service, execution and professional capability. Pricing, capacity, transport status and other commercial information must not be misrepresented. Agreements that unlawfully restrict competition are not acceptable.

06

Confidentiality and customer information

Customer identities, addresses, cargo details, shipment values, pricing, route information, documents and operational data are treated as confidential business information and shared only where there is a legitimate need.

07

Cargo security and transport integrity

Cargo should be accepted only with an appropriate transport setup. Vehicle suitability, load securing, access requirements, handling instructions and material security concerns form part of responsible execution.

08

Data protection and technology

Business and personal data should be accessed and used only for authorised purposes. Credentials, customer information and operational records must not be exposed unnecessarily. VirtuGlam Direct and VGTMS are used within defined customer-facing and operational boundaries.

09

Safety and responsible working conditions

Road safety, vehicle condition, lawful driving practices and respect for people are fundamental. Forced labour, exploitation, discrimination and unsafe instructions are inconsistent with VirtuGlam standards.

10

Environmental responsibility

Environmental claims must be accurate. Operationally, we aim to support efficient routing, suitable vehicle selection, reduced unnecessary mileage and responsible use of resources without overstating environmental performance.

11

Accurate records and documentation

CMR, POD, invoices, transport records and other evidence must reflect the underlying movement accurately. Falsification, manipulation or deliberate concealment of material information is prohibited.

12

Reporting concerns and accountability

Suspected misconduct, security incidents, document irregularities or material compliance concerns should be raised with VirtuGlam management without unnecessary delay. Good-faith reporting must not be used as a reason for retaliation.

Relationship to law and contracts

This Code is a conduct standard. Mandatory law, applicable transport conventions and expressly agreed contractual terms remain separately applicable.
